Relationship to the General Terms and Conditions
This fee schedule is part of the contract. § 8 (2) of the General Terms and Conditions of Next Commerce GmbH provides that a platform fee is charged and how it is calculated, and refers to this schedule, in the version announced under § 8 (4), for its amount. The amount of the platform fee is therefore set out exclusively here. In the event of conflicts regarding the basis, calculation or collection of the fee, the General Terms and Conditions take precedence.
1. Transaction Fee
For every order brokered through the services, Next Commerce charges the dealer a transaction fee. Its amount depends on the sales channel through which the end customer placed the order. This table is the only place where the fee rates are set out:
| Sales Channel | Fee per Order | Example at €127.33 |
|---|---|---|
| Dealer Checkout Widget on a brand's website | 2.0% of the transaction amount + €1.00 | €3.55 |
| Buy Now Page Product page at Next Commerce created by the brand, with one or more dealers | 2.0% of the transaction amount + €1.00 | €3.55 |
| Buy Now Demand Network · AI Assistants Orders from AI assistants, search engines and comparable third-party services | 4.0% of the transaction amount + €2.00 | €7.09 |
| Buy Now Demand Network · Other Channels Product pages created by Next Commerce, product feeds, free listings and directories, price comparison sites, marketplaces, paid ads | 4.0% of the transaction amount + €2.00 | €7.09 |
The fee depends on where the order comes from: if the dealer sells via a brand's website or via a product page created by the brand, it is 2.0% + €1.00. If the order comes via the Buy Now Demand Network, that is, via a product page created by Next Commerce, via Next Commerce's own marketplace feed or via an AI assistant, it is 4.0% + €2.00. This also applies if the end customer reaches a product page created by the brand via one of these channels and orders there. For Dealer Checkout, the rate of 2.0% + €1.00 has been agreed since 28 August 2026 and is unchanged. For the Buy Now Page and for the Buy Now Demand Network, the rates in this table apply for the first time with this version; no order was placed via these channels up to 19 October 2026.
The transaction amount is the total amount the end customer pays: goods, shipping, packaging and VAT.
Next Commerce records the sales channel and the rate applied with the order and shows both in the consolidated invoice. A later change to this schedule does not change the fee for an order already brokered.
The fee is not added to the dealer's price. In every sales channel, the end customer pays the price the dealer has set; the fee is withheld from this amount.
The fee is a gross amount. The VAT it contains is shown separately on the invoice and is not charged in addition.
Stripe withholds the fee when the end customer pays. The dealer receives the remaining amount. No separate payment is required.
2. Chargebacks: €49.00
If an end customer disputes a payment with their bank or card issuer, Next Commerce charges the dealer €49.00 per chargeback, regardless of the outcome of the procedure. The flat fee covers review, provision of evidence and coordination. The dealer remains entitled to prove that no damage or substantially less damage was incurred.
Stripe also charges its own chargeback fee and collects it directly from the dealer's account. Next Commerce does not receive this fee.
3. Paper Invoice: €10.00
Invoices are available electronically in the dealer account. This is the standard case and free of charge. On request, Next Commerce also sends an invoice by post and charges €10.00 per invoice for this. The dealer remains entitled to prove that no costs or substantially lower costs were incurred.
4. Payment Processing by Stripe
The purchase contract is concluded between the end customer and the dealer, and the payment runs through the dealer's Stripe account. Stripe therefore charges its payment fees directly to the dealer, under the contract between the dealer and Stripe. These fees are not charges of Next Commerce, and Next Commerce receives no share of them.
Next Commerce does not charge for standard payouts from Stripe to the dealer's bank account.
5. Currency Conversion
If a dealer sells in a currency other than their own, the end customer sees and pays the price in their own currency. The conversion takes place at the exchange rate that Stripe offers for the transaction. Stripe's conversion surcharge is included in this rate, usually around 2% depending on the currency pair, and is withheld by Stripe. Next Commerce does not charge its own fee for the conversion.
6. Refunds to End Customers
Next Commerce does not charge for refunds. The transaction fee under Section 1 is not refunded in the event of a refund, in any sales channel, because the brokered service has already been performed. This also applies if the dealer cancels the order after payment, does not deliver the goods or refunds the purchase price in whole or in part, regardless of the reason. Stripe usually does not refund its own payment fee either.
If the end customer's payment does not go through, no transaction fee is charged. Only a paid order is charged.
7. VAT on the Charges
How the charges in this schedule are treated for VAT purposes depends on where the dealer is established:
| Dealer's Place of Establishment | Treatment | Shown on the Invoice |
|---|---|---|
| Germany | Taxable supply in Germany | 19% VAT, included in the charge |
| Rest of the EU, with VAT ID | Reverse charge (Art. 196 VAT Directive) | 0%, both VAT IDs and note |
| Rest of the EU, without VAT ID | Invoicing not possible | The dealer is asked for their VAT ID |
| Outside the EU | Not taxable in Germany (§ 3a (2) UStG) | 0%, without reverse charge note |
8. Invoicing
Each month, Next Commerce provides the dealer with a consolidated invoice within the meaning of § 14 UStG in the dealer account, itemizing the individual transactions of the billing period. The transaction fee has already been withheld at that point. Charges under Sections 2 and 3 become due with the invoice.
In the event of late payment, the statutory provisions apply. Toward businesses, Next Commerce may additionally claim the flat fee of €40.00 under § 288 (5) BGB.
9. What Next Commerce Does Not Charge For
- Registration, setup and integration
- Dealer account and brand account
- Any number of widgets and sales channels
- Own catalog (file, feed or shop import), Buy Now Page and availability to AI assistants: the listing is free of charge, only brokered orders under Section 1 are charged
- Product import, product translations and catalog maintenance
- Electronic invoices and refunds
- Support by email
- No base fee, no minimum sales, no cancellation fee
10. Changes to This Schedule
Next Commerce announces changes in text form at least two weeks before they take effect. If the dealer does not object by the time they take effect, the changed charges are deemed accepted; the announcement points out this consequence separately. In the event of an objection, either party may terminate the contract as of the time the change takes effect.
For an order already brokered, the rate that applied when it was placed remains decisive; a change to this schedule does not apply retroactively. Every announced version of this schedule remains available with its date, so that it is traceable which rate was agreed at which time.
Charges for ListingShield, for paid compliance modules and for separately agreed plans or project services are set out in the respective agreement and are not covered by this schedule.
